Terms of Service

Welcome to TapCash. These Terms of Service govern your access to and use of the TapCash platform, including our website, mobile applications, and all related services. By using TapCash, you agree to these terms.

1. Acceptance of Terms

By accessing or using TapCash services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.


These Terms constitute a legally binding agreement between you and TapCash Inc. ("TapCash," "we," "us," or "our"). Please read them carefully.


We may modify these Terms at any time. Material changes will be communicated via email or through our Services. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

2. Eligibility

To use TapCash services, you must:


• Be at least 18 years of age (or 13 with parental consent for Family accounts)

• Be a resident of a jurisdiction where our services are available

• Have the legal capacity to enter into binding agreements

• Not be prohibited from using our services under applicable law

• Successfully complete our identity verification process


Business accounts require additional verification, including business registration documentation and beneficial ownership information.

3. Account Registration

When you create a TapCash account, you agree to:


• Provide accurate, current, and complete information

• Maintain and promptly update your account information

• Keep your login credentials secure and confidential

• Notify us immediately of any unauthorized access or security breach

• Accept responsibility for all activities under your account


We reserve the right to suspend or terminate accounts that contain inaccurate information or are used in violation of these Terms.

4. Services Description

TapCash provides money movement services including:


Personal Accounts: Digital dollar accounts (USDvt), peer-to-peer payments, family money management, and token swap capabilities.


Business Accounts (PRO): All Personal features plus team management, vendor payments, contractor payments, and enhanced controls.


USDvt Digital Dollar: A stablecoin backed 1:1 by USD reserves held in regulated custody accounts. USDvt is not a deposit and is not FDIC insured.


Money Transmission: We provide money transmission services under applicable state licenses. Services may vary by jurisdiction.

5. Important Disclosures

TapCash is not a bank. Banking services, where provided, are offered through our partner financial institutions.


USDvt is not FDIC insured. Digital dollar balances are backed by reserve assets but do not carry government deposit insurance.


Not investment advice. TapCash does not provide investment, tax, or legal advice. Consult qualified professionals for such guidance.


Value fluctuation. While USDvt is designed to maintain a 1:1 USD peg, other digital assets available through our swap feature may fluctuate significantly in value.

6. Fees and Pricing

Our current fee structure includes:


Personal Accounts: Free for basic features. Internal USDvt transfers are free. External transfers and certain features may incur fees.


Business Accounts (PRO): Monthly subscription pricing with volume-based transaction fees. See our Pricing page for current rates.


Network Fees: External blockchain transactions may incur network (gas) fees, which are passed through at cost.


Currency Conversion: Swap transactions include a spread and/or fee as disclosed at the time of transaction.


We reserve the right to modify fees with 30 days advance notice. Current fees are always available at tap.cash/pricing.

7. Prohibited Activities

You agree not to use TapCash services for:


• Any illegal activity, including money laundering, terrorist financing, or sanctions evasion

• Fraud, scams, or deceptive practices

• Purchasing illegal goods or services

• Circumventing transaction limits or identity verification requirements

• Interfering with or disrupting our services or infrastructure

• Reverse engineering or attempting to access our source code

• Creating multiple accounts to evade restrictions

• Violating the rights of others, including intellectual property rights

• Any activity that could harm TapCash, our users, or our partners


Violations may result in immediate account termination and reporting to authorities.

8. Transaction Limits

Transaction limits vary based on:


• Account type (Personal vs. Business)

• Verification level completed

• Jurisdiction of residence

• Account history and standing


Limits are displayed in your account settings and may be adjusted based on regulatory requirements or risk assessment. We reserve the right to hold, delay, or refuse transactions that exceed limits or trigger compliance review.

9. Privacy and Data

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.


By using our Services, you consent to our data practices as described in the Privacy Policy and authorize us to share information with third parties as necessary to provide our services and comply with legal obligations.

10. Intellectual Property

All content, features, and functionality of TapCash services—including but not limited to text, graphics, logos, icons, software, and the overall design—are owned by TapCash Inc. and protected by intellectual property laws.


You may not copy, modify, distribute, sell, or lease any part of our services without our written consent. "TapCash," "USDvt," and related logos are trademarks of TapCash Inc.

11. Third-Party Services

Our services may integrate with or contain links to third-party services, including:


• Banking partners for fiat on/off ramps

• Blockchain networks for digital asset transactions

• Identity verification providers

• Analytics and security services


We are not responsible for third-party services, their content, or their privacy practices. Your use of third-party services is subject to their respective terms and policies.

12. Disclaimer of Warranties

TAPCASH SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.


We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.


We do not guarantee that our services will be uninterrupted, secure, or error-free. We are not responsible for delays, failures, or losses resulting from circumstances beyond our reasonable control.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAPCASH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR:


• Indirect, incidental, special, consequential, or punitive damages

• Loss of profits, revenue, data, or goodwill

• Any damages exceeding the fees paid by you in the 12 months preceding the claim


This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless TapCash and its officers, directors, employees, agents, and partners from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:


• Your use of our services

• Your violation of these Terms

• Your violation of any rights of a third party

• Any content you submit through our services

15. Dispute Resolution

Arbitration Agreement: Any dispute arising from these Terms or your use of TapCash services shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules.


Class Action Waiver: You agree to resolve disputes on an individual basis. You waive the right to participate in class actions, class arbitrations, or representative actions.


Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to services.


Governing Law: These Terms are governed by the laws of Delaware, without regard to conflict of law principles.

16. Termination

You may close your account at any time through the app or by contacting support@tap.cash.


We may suspend or terminate your account at any time for:


• Violation of these Terms

• Suspected fraud or illegal activity

• Regulatory or legal requirements

• Extended periods of inactivity

• Any reason with 30 days notice


Upon termination, you remain responsible for all pending transactions. We will provide instructions for withdrawing any remaining balance, subject to applicable holds and legal requirements.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TapCash.


Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect.


No Waiver: Our failure to enforce any provision does not waive our right to do so in the future.


Assignment: You may not assign your rights under these Terms. We may assign our rights to any affiliate or successor.


Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
